1. Acceptance of Terms

Welcome to CinemaToolKit, a web application operated by Cinetoolkit.com ("Company," "we," "us," or "our") and based in Tel Aviv, Israel. These Terms of Use ("Terms") govern your access to and use of the CinemaToolKit website, mobile pages, APIs, and related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms and all applicable laws. If you do not agree, you must not use the Service. We may revise these Terms at any time; material changes will be announced (email or on-site notice) before they take effect. Continued use after changes become effective constitutes acceptance of the revised Terms.

Your use of CinemaToolKit is also governed by our Privacy Policy and Cookies Policy (together, "Policies"). By using the Service, you consent to the practices described in those Policies. If you sign in or integrate with third-party services (e.g., Google, Facebook), their terms and privacy rules also apply.

2. Eligibility and Account Registration

You must be at least 13 years old (or the minimum legal age in your jurisdiction) to use CinemaToolKit. Users under 18 must have parent or guardian consent.

You agree to provide accurate, current, and complete information during registration and keep it updated.

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

Notify us immediately of any unauthorized use or security breach. We are not liable for losses resulting from your failure to safeguard credentials.

3. User Content and Intellectual Property

3.1 Your Content

CinemaToolKit allows you to upload video/audio files, generate and edit subtitles, transcripts, and related text (collectively, "User Content").

Ownership: You retain all rights in your User Content.

License to Company: You grant the Company a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, and use your User Content solely to operate, improve, and support the Service. We will never sell or license your User Content to third parties without your consent.

Responsibility: You represent and warrant that (a) you own or have all necessary rights to the User Content, and (b) the User Content does not violate any law or infringe any third-party rights (copyright, privacy, publicity, etc.). You are solely responsible for your User Content.

We may remove or disable User Content that violates these Terms or is otherwise objectionable.

3.2 Our Content

Except for User Content, the Service—including software, code, design, graphics, trademarks, and logos—is owned by or licensed to the Company and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal or internal-business purposes, subject to these Terms. You may not reverse-engineer, decompile, reproduce, distribute, or create derivative works from our content except as expressly permitted by law or written consent.

4. Acceptable Use

You agree NOT to:

  • Violate any applicable law or regulation.
  • Infringe or misappropriate any intellectual-property, privacy, or other rights.
  • Upload unlawful, harmful, defamatory, obscene, or hateful content.
  • Introduce viruses, malware, or carry out denial-of-service attacks.
  • Attempt unauthorized access to accounts, systems, or data.
  • Use automated scraping, bulk-download bots, or mass-harvest data outside documented APIs.
  • Harass, threaten, or abuse others.
  • Resell, sublicense, or commercially exploit the Service except as expressly permitted.

Violations may result in suspension or termination of your account and potential legal action.

5. Subscriptions, Payments, and Refunds

Plans & Pricing: CinemaToolKit offers free tiers and paid subscription plans displayed on our site.

Payment Processing: Payments are handled by third-party processors (e.g., Stripe, PayPal). We do not store full credit-card details.

Auto-Renewal: Subscriptions renew automatically unless canceled before the next billing date.

Cancellation: You may cancel anytime via your account settings; access continues until the end of the paid term.

Refunds: All fees are non-refundable except where required by law or expressly stated otherwise.

Price Changes: We may change prices; you will receive advance notice and may cancel before new rates apply. Continued use after price changes constitutes acceptance.

6. Third-Party Services and Integrations

CinemaToolKit integrates with:

  • AI speech-to-text providers (e.g., Google Cloud Speech, OpenAI).
  • Cloud storage providers (EU-based).
  • OAuth identity providers (Google, Facebook).
  • Payment gateways (Stripe, PayPal).

These third parties process data under contractual obligations restricting use to providing their services to us. We are not responsible for their acts or omissions. Links to third-party sites are provided for convenience; they are not endorsed by us.

7. Termination

By You: Delete your account at any time. Deleting your account does not automatically cancel active paid subscriptions—you must cancel them separately.

By Us: We may suspend or terminate access (with or without notice) for violations of these Terms, security threats, legal compliance, or discontinuation of the Service.

Effect: Upon termination, your license to use the Service ends; certain provisions (intellectual-property rights, disclaimers, limitations of liability, indemnity) survive.

8. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:

  • the Service will be uninterrupted, timely, secure, or error-free;
  • AI-generated subtitles, transcripts, or translations will be accurate or reliable;
  • defects will be corrected; or
  • the Service is free of viruses or other harmful components.

You use CinemaToolKit at your sole risk.

9. Limitation of Liability

To the maximum extent permitted by law, the Company and its affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of or inability to use the Service.
Our aggregate liability for all claims will not exceed the amount you paid to us in the 12 months preceding the claim. Some jurisdictions do not allow certain exclusions; in such cases, liability is limited to the minimum extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, agents, and employees from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from:

  • your use or misuse of the Service;
  • your violation of these Terms; or
  • your infringement of any third-party rights.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Israel without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel for all disputes arising out of or relating to the Service or these Terms.

12. Miscellaneous

Entire Agreement: These Terms plus the Policies constitute the entire agreement between you and the Company.

Severability: If any provision is unenforceable, the remainder remains in effect.

No Waiver: Failure to enforce any provision is not a waiver of that provision.

Assignment: You may not assign your rights; we may assign our rights and obligations without restriction.

Force Majeure: We are not liable for events beyond our reasonable control (e.g., natural disasters, war, Internet outages).

CinemaToolKit sets analytics cookies only after you click “Accept” on our cookie banner.

3. Managing Cookies

  • In-App: Use our cookie-preferences panel/banner to accept or decline non-essential cookies.
  • Browser Settings: Delete or block cookies (may affect functionality).
  • Google Analytics Opt-Out: Install Google’s browser add-on if desired.
  • Do Not Track: We honor your cookie consent choice; DNT signals are treated accordingly.

4. Third-Party Cookies

OAuth providers (Google, Facebook), payment gateways (Stripe, PayPal), or embedded content (e.g., tutorial videos) may set cookies. Refer to their policies for details. We strive to minimize third-party cookies and use trusted partners.
